How AI can increase efficiency for attorneys and clients

No business has been spared from the devastating effects of the current crisis. Some contract agreements are impossible to fulfill and legal experts are being asked to review all contracts for force majeure clauses. Without AI, reviewing force majeure clauses will be a lengthy task, especially since many large corporations can have thousands of contracts, and even small enterprises can be dealing with hundreds.

What is Force Majeure

Force majeure is a contract provision related to things that happen outside of a party’s control (for instance, plague, famine, war, acts of God, etc.). It provides non-performance relief when such instances have transpired. If no clause addresses pandemic restrictions, a contract could potentially be at risk. Many companies can be affected by a lack of this clause, specifically, the ones who offer products and services.

How it works

Our AI-enabled solution is flexible and powerful enough to seek out force majeure clauses in contracts. The solution answers the questions: Is there a specific reference to an “epidemic” or “pandemic” as a force majeure event? If not, are there phrases that relate to government measures, or events beyond the reasonable control of the parties? What happens in a force majeure event?

The solution can be also deployed in the private cloud or on-premises, allowing it to serve multiple customer types and requirements.  It provides a consistent user experience and makes it easy to visualize top risks with dashboards and heatmaps, and monitors key risk indicators. Built-in metrics and algorithms offer advanced data processing and statistics, which provide real-time risk assessment reporting.

How can we help?

Our AI-enabled solution is flexible and powerful enough to seek out force majeure clauses in contracts. The solution answers the questions: Is there a specific reference to an “epidemic” or “pandemic” as a force majeure event? If not, are there phrases that relate to government measures, or events beyond the reasonable control of the parties? What happens in a force majeure event?

How does the current crisis affect contractual obligations?

No business has been spared from the devastating effects of the COVID-19 infection. The spread of the coronavirus infection is causing delays, reductions, or cancellations of service contracts. Businesses seek to understand their options and determine how a pandemic impacts longstanding business agreements.  Keeping COVID-19 in mind, knowing which contracts have a force majeure clause in them will allow your company to assertively react to any business risks when they happen.

What is force majeure?

Force majeure is a contract provision on things that happen outside of a party’s control (for instance, plague, famine, war, acts of God, etc.). It provides non-performance relief when such instances have transpired. If no clause addresses pandemic restrictions, a contract could potentially be at risk. Many companies can be affected by a lack of this clause; specifically, the ones who offer products or services.

Are force majeure clauses standard?

Force majeure clauses are not considered standard provisions. They differ from one contract to another. Such variations may have significant consequences, particularly concerning available remedies and notification periods. Some people consider force majeure clauses to be provisions to be used only for emergencies. Most people neglect these clauses or do not bring them up during a negotiation. Most companies were not even worried about force majeure contract provisions until a few months ago.

How does the technology work?

Leveraging AI technology, it uses computer vision, deep learning, and natural language processing to automatically read and review contracts while cross-checking that information against thousands of data points.

You can choose to concentrate on contracts containing a force majeure clause, or on ones that do not. The AI will scan documents to find out if a clause is lacking. It can filter out certain phrases or words within each clause. This allows companies to concentrate on simple-to-win scenarios, specifically where a clause acknowledges a pandemic or epidemic. If desired, companies can initiate an alternative or concurrent contract search to seek out force majeure clauses with vague phrasing (such as a suggestion of an act of God).

What are the benefits of using an application of artificial intelligence in the contract review?

Manual contact reviews are costly and tedious. With AI, you can streamline the analysis and remove the burden of manual assessments. An AI-enabled contract management solution brings substantial time and cost savings. That is because the program can do in seconds what will take hours or days for a person to do.

Which languages do you support?

Currently, the service supports the English language.

Where is the product infrastructure hosted?

Our product infrastructure is hosted and managed within the Amazon Web Service (AWS) and Microsoft Azure secure data centers, and leverages their suite of technologies to safely store your data. The data is physically stored on the servers in secure locations in the United States or within the EU.

Where is the data stored?

All data is stored in a HIPAA compliant server infrastructure, housed in Amazon and Microsoft data centers. Only those who have a legitimate business need to have such information know the actual location of these data centers, and the data centers themselves are secured with a variety of physical controls to prevent unauthorized access.

How do you ensure the deletion of data?

We use Amazon Web Service (AWS) and Microsoft Azure as our infrastructure providers. The infrastructure provider makes customer data unavailable once delete operations are performed. All storage operations, including delete, are designed to be instantly consistent. Successful execution of a delete operation removes all references to the associated data item, and it cannot be accessed by the other customer (including, in most cases, the customer who once owned the data). The physical bits are overwritten when the associated storage block is reused for storing other data, as is typical with standard computer hard drives.

How secure is the technology?

Our product infrastructure is hosted and managed within Amazon and Microsoft secure data centers. These data center operations are renowned as the most secure in the industry, and have been accredited under relevant ISO and SOC certifications. This helps ensure that the product infrastructure is resilient to attack, safeguards user access, and helps keep customer data secure through encrypted communications as well as threat management and mitigation practices, including regular penetration testing. Amazon Web Service (AWS) and Microsoft Azure are trusted to process data for companies across industries with high data security requirements.
